ANNOUNCEMENT OF ANNUAL STOCKHOLDERS’ ASSEMBLY
This serves to inform that the 2025 Annual Shareholders’ Assembly of PANASONIC MANUFACTURING PHILIPPINES CORPORATION (PMPC) will take place on July 18, 2025 (Friday) at 3:00 PM. The assembly will be held virtually using Microsoft Teams. Therefore, stockholders are permitted to join the meeting solely through remote communication.
The agenda for the meeting will be as follows:
- National Anthem
- Call to Order
- Verification of Notice for the Annual Stockholders’ Assembly and Confirmation of Quorum
- Approval of Minutes from the July 19, 2024, Annual Stockholders’ Assembly
- Annual Report by the President
- Financial Statements
- Ratification of all acts, resolutions, and proceedings by the Board of Directors and Management since the 2024 Annual Stockholders’ Assembly
- Election of Directors
- Appointment of External Auditor
- Other Matters
- Adjournment
The Board of Directors has set the close of business on June 27, 2025, as the record date for determining stockholders eligible for notice of, attendance at, and voting in the aforementioned Annual Stockholders’ Assembly.
Stockholders who wish to attend or be represented in the virtual meeting must pre-register and submit the following requirements via email to asmregistration@ph.panasonic.com no later than July 15, 2025, subject to validation procedures for access to the secure online meeting link:
1. Individual Stockholders
i. Scanned copy of Stockholder’s valid government-issued ID showing a photo, signature, and personal details, preferably including residential address.
ii. A valid and active email address and contact number.
2. Corporate Stockholders
i. A Secretary’s certificate confirming the authority of the representative to participate via remote communication for, and on behalf of, the Corporation.
ii. Scanned copy of Stockholder’s valid government-issued ID showing a photo, signature, and personal details, preferably including residential address.
iii. A valid and active email address and contact number.
Upon validation, the successful registrant will receive a confirmation and an electronic invitation via email along with complete instructions on how to join the virtual meeting. For any concerns regarding registration, please contact asmregistration@ph.panasonic.com care of Mr. Francisco Tolentino or visit https://www.panasonic.com/ph/corporate/profile/ir.html for further details. A stockholder who does not meet the registration requirement will be unable to participate in the virtual ASM.
Stockholders who are unable to attend the virtual meeting may appoint their authorized representatives. They may download, complete, and sign the sample proxy form available at https://www.panasonic.com/ph/corporate/profile/ir.html and email a scanned copy to asmregistration@ph.panasonic.com no later than July 15, 2025.
Stockholders who provide their personal information shall be considered to consent to the collection and processing of their information in accordance with the Company’s privacy policy for its Regular Annual Stockholders’ Meeting published on its website.
Electronic and relevant copies of the Meeting Notice, Definitive Information Statement, and other related documents associated with the meeting may be accessed through any of the following options:

The Company will entertain inquiries and comments from stockholders solely during the discussion of other matters. Questions that remain unanswered during the meeting will be forwarded to the Office of the Corporate Secretary for a proper response.
