The gathering will occur virtually via Microsoft Teams, necessitating that stockholders attend the meeting through remote communication.<\/span><\/p>\n<p><span data-contrast=\"auto\">The agenda for the gathering will include the following:<\/span><\/p>\n<ol>\n<li><span data-contrast=\"auto\">National Anthem<\/span><\/li>\n<li><span data-contrast=\"auto\">Call to Order<\/span><\/li>\n<li><span data-contrast=\"auto\">Verification of Notice of the Annual Stockholders\u2019 Meeting and Establishment of Quorum<\/span><\/li>\n<li><span data-contrast=\"auto\">Approval of Minutes from the July 19, 2024, Annual Stockholders&#8217; Meeting<\/span><\/li>\n<li><span data-contrast=\"auto\">President\u2019s Annual Report<\/span><\/li>\n<li><span data-contrast=\"auto\">Financial Statements<\/span><\/li>\n<li><span data-contrast=\"auto\">Ratification of all actions, resolutions, and proceedings of the Board of Directors and Management since the 2024 Annual Stockholders\u2019 Meeting<\/span><\/li>\n<li><span data-contrast=\"auto\">Election of Directors<\/span><\/li>\n<li><span data-contrast=\"auto\">Selection of External Auditor<\/span><\/li>\n<li><span data-contrast=\"auto\">Other Matters<\/span><\/li>\n<li><span data-contrast=\"auto\">Adjournment<\/span><\/li>\n<\/ol>\n<p><span data-contrast=\"auto\">The Board of Directors has set June 27, 2025, as the cut-off date for determining stockholders eligible to be notified about, attend, and vote in the Annual Stockholders\u2019 Meeting.<\/span><\/p>\n<p><span data-contrast=\"auto\">Stockholders wishing to participate or be represented in the virtual gathering must first pre-register and submit the following requirements via email to <\/span><a href=\"mailto:asmregistration@ph.panasonic.com\"><span data-contrast=\"none\">asmregistration@ph.panasonic.com<\/span><\/a><span data-contrast=\"auto\"> no later than July 15, 2025, subject to validation processes to access the secure online meeting link:<\/span><\/p>\n<p>1. Individual Stockholders<\/p>\n<p>i. A scanned copy of the Stockholder\u2019s valid, government-issued ID displaying photo, signature, and personal information, preferably including residential address.<\/p>\n<p><span data-contrast=\"auto\">ii. A valid and operational email address and contact number.<\/span><\/p>\n<p><span data-contrast=\"auto\">2. Corporate Stockholders<\/span><\/p>\n<p><span data-contrast=\"auto\">i. A Secretary\u2019s certificate confirming the authority of the representative to attend via remote communication for, and on behalf of, the Corporation.<\/span><\/p>\n<p><span data-contrast=\"auto\">ii. A scanned copy of the Stockholder\u2019s valid, government-issued ID showing photo, signature, and personal details, preferably with residential address.<\/span><\/p>\n<p><span data-contrast=\"auto\">iii. A valid and operational email address and contact number.<\/span><\/p>\n<p><span data-contrast=\"auto\">Upon successful validation, the registrant will receive a confirmation and an electronic invitation via email, along with a detailed guide on joining the virtual gathering. A stockholder who does not meet the registration criteria will be unable to participate in the virtual ASM.<\/span><\/p>\n<p><span data-contrast=\"auto\">Stockholders unable to attend the virtual gathering may appoint authorized representatives.
