The assembly will be held virtually using Microsoft Teams. Therefore, stockholders are permitted to join the meeting solely through remote communication.<\/span><\/p>\n<p><span data-contrast=\"auto\">The agenda for the meeting will be as follows:<\/span><\/p>\n<ol>\n<li><span data-contrast=\"auto\">National Anthem<\/span><\/li>\n<li><span data-contrast=\"auto\">Call to Order<\/span><\/li>\n<li><span data-contrast=\"auto\">Verification of Notice for the Annual Stockholders\u2019 Assembly and Confirmation of Quorum<\/span><\/li>\n<li><span data-contrast=\"auto\">Approval of Minutes from the July 19, 2024, Annual Stockholders\u2019 Assembly<\/span><\/li>\n<li><span data-contrast=\"auto\">Annual Report by the President<\/span><\/li>\n<li><span data-contrast=\"auto\">Financial Statements<\/span><\/li>\n<li><span data-contrast=\"auto\">Ratification of all acts, resolutions, and proceedings by the Board of Directors and Management since the 2024 Annual Stockholders\u2019 Assembly<\/span><\/li>\n<li><span data-contrast=\"auto\">Election of Directors<\/span><\/li>\n<li><span data-contrast=\"auto\">Appointment of External Auditor<\/span><\/li>\n<li><span data-contrast=\"auto\">Other Matters<\/span><\/li>\n<li><span data-contrast=\"auto\">Adjournment<\/span><\/li>\n<\/ol>\n<p><span data-contrast=\"auto\">The Board of Directors has set the close of business on June 27, 2025, as the record date for determining stockholders eligible for notice of, attendance at, and voting in the aforementioned Annual Stockholders\u2019 Assembly.<\/span><\/p>\n<p><span data-contrast=\"auto\">Stockholders who wish to attend or be represented in the virtual meeting must pre-register and submit the following requirements via email to <\/span><a href=\"mailto:asmregistration@ph.panasonic.com\"><span data-contrast=\"none\">asmregistration@ph.panasonic.com<\/span><\/a><span data-contrast=\"auto\"> no later than July 15, 2025, subject to validation procedures for access to the secure online meeting link:<\/span><\/p>\n<p>1. Individual Stockholders<\/p>\n<p>i. Scanned copy of Stockholder\u2019s valid government-issued ID showing a photo, signature, and personal details, preferably including residential address.<\/p>\n<p><span data-contrast=\"auto\">ii. A valid and active email address and contact number.<\/span><\/p>\n<p><span data-contrast=\"auto\">2. Corporate Stockholders<\/span><\/p>\n<p><span data-contrast=\"auto\">i. A Secretary\u2019s certificate confirming the authority of the representative to participate via remote communication for, and on behalf of, the Corporation.<\/span><\/p>\n<p><span data-contrast=\"auto\">ii. Scanned copy of Stockholder\u2019s valid government-issued ID showing a photo, signature, and personal details, preferably including residential address.<\/span><\/p>\n<p><span data-contrast=\"auto\">iii. A valid and active email address and contact number.<\/span><\/p>\n<p><span data-contrast=\"auto\">Upon validation, the successful registrant will receive a confirmation and an electronic invitation via email along with complete instructions on how to join the virtual meeting. For any concerns regarding registration, please contact <\/span><a href=\"mailto:asmregistration@ph.panasonic.com\"><span data-contrast=\"none\">asmregistration@ph.panasonic.com<\/span><\/a><span data-contrast=\"auto\"> care of Mr. Francisco Tolentino or visit <\/span><a href=\"https:\/\/www.panasonic.com\/ph\/corporate\/profile\/ir.html\"><span data-contrast=\"none\">https:\/\/www.panasonic.com\/ph\/corporate\/profile\/ir.html<\/span><\/a><span data-contrast=\"auto\"> for further details. A stockholder who does not meet the registration requirement will be unable to participate in the virtual ASM.<\/span><\/p>\n<p><span data-contrast=\"auto\">Stockholders who are unable to attend the virtual meeting may appoint their authorized representatives.
