ANNOUNCEMENT OF ANNUAL SHAREHOLDERS’ MEETING
This is to inform you that the 2025 Annual Shareholders’ Gathering of PANASONIC MANUFACTURING PHILIPPINES CORPORATION (PMPC) is scheduled for July 18, 2025 (Friday) at 3:00 PM. The gathering will occur virtually via Microsoft Teams, necessitating that stockholders attend the meeting through remote communication.
The agenda for the gathering will include the following:
- National Anthem
- Call to Order
- Verification of Notice of the Annual Stockholders’ Meeting and Establishment of Quorum
- Approval of Minutes from the July 19, 2024, Annual Stockholders’ Meeting
- President’s Annual Report
- Financial Statements
- Ratification of all actions, resolutions, and proceedings of the Board of Directors and Management since the 2024 Annual Stockholders’ Meeting
- Election of Directors
- Selection of External Auditor
- Other Matters
- Adjournment
The Board of Directors has set June 27, 2025, as the cut-off date for determining stockholders eligible to be notified about, attend, and vote in the Annual Stockholders’ Meeting.
Stockholders wishing to participate or be represented in the virtual gathering must first pre-register and submit the following requirements via email to asmregistration@ph.panasonic.com no later than July 15, 2025, subject to validation processes to access the secure online meeting link:
1. Individual Stockholders
i. A scanned copy of the Stockholder’s valid, government-issued ID displaying photo, signature, and personal information, preferably including residential address.
ii. A valid and operational email address and contact number.
2. Corporate Stockholders
i. A Secretary’s certificate confirming the authority of the representative to attend via remote communication for, and on behalf of, the Corporation.
ii. A scanned copy of the Stockholder’s valid, government-issued ID showing photo, signature, and personal details, preferably with residential address.
iii. A valid and operational email address and contact number.
Upon successful validation, the registrant will receive a confirmation and an electronic invitation via email, along with a detailed guide on joining the virtual gathering. For any registration issues, please contact asmregistration@ph.panasonic.com, directed to Mr. Francisco Tolentino, or visit https://www.panasonic.com/ph/corporate/profile/ir.html for reference and additional details. A stockholder who does not meet the registration criteria will be unable to participate in the virtual ASM.
Stockholders unable to attend the virtual gathering may appoint authorized representatives. They may download, complete, and sign the sample proxy form available at https://www.panasonic.com/ph/corporate/profile/ir.html and send a scanned copy to asmregistration@ph.panasonic.com by July 15, 2025.
Stockholders providing their personal details will be considered to consent to the collection and processing of their information in alignment with the Company’s privacy policy regarding its Regular Annual Stockholders’ Meeting available on the website.
Electronic and pertinent copies of the Notice of Meeting, Definitive Information Statement, and other related documents for the meeting can be accessed via the following methods:

The Company will address inquiries and comments from stockholders only during the discussion of other matters. Questions not addressed during the gathering will be forwarded to the Corporate Secretary’s Office for appropriate response.
